Introduction
Welcome to BizDriver.ai (“we,” “us,” or “our”). We provide human-supervised AI Assistants that integrate into websites and business systems, offering features such as custom HTML layouts for product and real estate listings and integrations with external systems. By accessing or using our Services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use the Services.

Access to the Services
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, including features, availability, or access, without notice or liability. We may also impose limits on certain features or restrict access to parts or all of the Services without prior notice.

Use of the Services
You agree to use the Services only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else’s use and enjoyment of the Services. Prohibited activities include, but are not limited to:

  • Reverse engineering, decompiling, or attempting to discover underlying components of our AI models, algorithms, or systems.

  • Using web scraping, harvesting, or data extraction methods to extract data from the Services.

  • Using the Services or their outputs to create, train, or improve any other AI service.

  • Engaging in activities that disrupt the Services, such as prompt manipulation, jailbreaking, or excessive usage.

AI Services

  1. Definition: Our “AI Services” include human-supervised AI Assistants offering features such as custom HTML layouts for product, real estate, or other listings, and integration with external systems via the Model Context Protocol (MCP). These Services are designed to provide business assistance and information retrieval functionality tailored to your needs.

  2. Auto-Tuning and Quality Monitoring: Our AI Services include automated monitoring and quality assurance processes designed to help maintain response accuracy, troubleshoot issues, detect abuse, and support customer-requested functionality improvements. These processes may involve processing user inputs and outputs for operational and support purposes, as further described in our Privacy Policy.

  3. Human Supervision: Expert human oversight may complement automated quality monitoring processes. Our team may review flagged responses to help maintain service quality, update data sources, or provide customer-requested assistance, particularly for complex queries or custom HTML layouts.

  4. Custom HTML Layouts: Available in select subscription plans, custom HTML layouts allow you to create visually appealing listings (e.g., product catalogs or real estate floor plans). You are responsible for providing accurate, lawful data for these layouts and ensuring compliance with applicable laws, including copyright and advertising regulations.

  5. User Responsibilities:

    • You must use AI Services lawfully and ensure that your inputs and data provided for custom HTML layouts do not infringe third-party rights or violate applicable laws.

    • You are solely responsible for reviewing AI-generated content, including custom HTML layouts, for accuracy and suitability before use.

    • You may not rely on AI Services for critical decisions (e.g., legal, financial, medical, or safety-critical advice) due to the potential for errors.

  6. Prohibited Uses: In addition to the restrictions in “Use of the Services,” you may not:

    • Use AI Services to generate harmful, offensive, fraudulent, or misleading content.

    • Attempt to bypass AI safety mechanisms or manipulate outputs.

  7. Third-Party Integrations: When using MCP or other integrations to connect to external AI agents, APIs, or data sources, you are responsible for complying with the terms of those third-party services. We are not liable for inaccuracies, downtime, or issues arising from third-party services or data.

  8. Content Ownership and Use:

    • You retain ownership of your inputs and Customer Data submitted to the AI Services.

    • Outputs generated by the AI Services are provided under a non-exclusive license for your internal business or commercial use, subject to these Terms.

    • We may process and store your inputs and outputs for service operation, monitoring, troubleshooting, quality assurance, abuse prevention, customer support, security, and compliance with these Terms, as outlined in our Privacy Policy.

    • BizDriver.ai will not use Customer Data, including prompts, chat logs, uploaded files, user inputs, event data, or AI interaction history, to train, fine-tune, or improve generalized AI models or foundation machine learning models.

    • You are solely responsible for any third-party claims (e.g., copyright infringement, regulatory violations, or misleading advertising claims) arising from your use of AI-generated content or submitted materials.

  9. Limitations: AI Services are provided for informational and business purposes and may generate incorrect, incomplete, outdated, or unsuitable content. We do not guarantee the accuracy, completeness, reliability, or suitability of AI outputs, including custom HTML layouts, and you use them at your own risk.

Ownership of Services
BizDriver.ai retains all rights, title, and interest in and to the Services, including all software, platform technology, documentation, trademarks, service marks, and related intellectual property. Except for the limited rights expressly granted under these Terms, no rights are transferred to you.

Confidentiality
Each party agrees to use reasonable care to protect the other party’s confidential information and not disclose such information to third parties except as necessary to provide the Services, comply with legal obligations, enforce these Terms, or protect the security and integrity of the Services.

Liability and Disclaimer
The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. We do not guarantee the accuracy, completeness, reliability, or suitability of the Services or any content, including AI-generated outputs or custom HTML layouts. You acknowledge that you rely on the Services and their outputs, including data retrieved via third-party integrations, at your own risk.

Limitation of Liability
To the maximum extent permitted by law, BizDriver.ai’s aggregate liability arising out of or relating to the Services shall not exceed the amounts paid by you to BizDriver.ai during the twelve (12) months preceding the event giving rise to the claim.

In no event shall BizDriver.ai be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenues, business opportunities, goodwill, or data, even if advised of the possibility of such damages.

Indemnification
You agree to indemnify, defend, and hold harmless BizDriver.ai, its officers, directors, employees, contractors, and agents from any claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees, arising out of or connected with your access to or use of the Services, including any AI-generated content, submitted materials, or custom HTML layouts that infringe third-party rights or violate applicable laws.

Subscription and Pricing
We offer various subscription plans for the Services, as described on our website at the time of purchase. Certain features may only be available in select subscription plans. You agree to pay all applicable fees for your chosen plan. We reserve the right to modify subscription plans, usage limits, or pricing at any time, with changes effective upon your next billing cycle. We will provide reasonable prior notice of material pricing changes via email or a website notice.

Integration and Associated Work
You are responsible for work associated with integrating and configuring the Services into your systems, including any custom layouts, workflows, or third-party integrations. We may provide implementation guidance or support, but we are not liable for costs, delays, incompatibilities, or impacts resulting from integrations, third-party systems, or modifications to the Services.

Privacy
Our Privacy Policy, incorporated into these Terms by reference, explains how we collect, use, process, and share information related to the Services. By using the Services, you consent to such processing in accordance with our Privacy Policy and applicable laws.

Governing Law
These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. Any disputes shall be resolved through binding arbitration in Delaware, administered by the American Arbitration Association, except for claims eligible for small claims court.
